Comprehensive terms for our aviation management platform

Terms of Service Agreement

These Terms of Service ("Terms") govern all access to and use of the aviation management platform operated by ZEAS Global FZCO, trading as ZEA AI (Zero Effort Aviation) ("ZEA AI", "we", "us", "our"). By creating an account, subscribing, or using any part of the ZEA AI system, you agree to be legally bound by these Terms.

ZEA AI provides cloud-based software for real-time aviation workflow automation, including Leon API integration, AI passport parsing, broker and operator dashboards, and Apple Wallet or Google Pay boarding pass functionality. ZEA AI acts solely as a technology provider and data processor and does not operate aircraft, provide transportation, or act as a flight broker. All information shown through ZEA AI is obtained from third-party systems such as Leon API, and users are solely responsible for verifying its accuracy before relying on it operationally.

AI Processing Consent & Verification Requirements

By using the platform, you explicitly consent to the temporary AI-based processing of passport images through Azure OpenAI and PaddleOCR for data extraction. Processed data is transmitted securely and directly to the relevant operator's Leon system and is not permanently stored or retained by ZEA AI. All AI-generated passport or identity data must be manually verified by a human before it is used operationally, and ZEA AI accepts no responsibility or liability for any inaccuracies, omissions, or consequences resulting from reliance on unverified or misinterpreted AI outputs.

User Obligations & Compliance

Users must not use ZEA AI for illegal, fraudulent, or unauthorised purposes, must not attempt to access data for which they do not have permission, and must comply with all applicable aviation, data protection, and privacy laws including UAE PDPL and UK/EU GDPR.

Service Disclaimer & Liability Limitations

ZEA AI provides its services "as is" without warranty of any kind, whether express or implied, including but not limited to implied warranties of accuracy, fitness for purpose, or uninterrupted service. The accuracy of all flight and passenger data remains the sole responsibility of the operator or broker submitting it.

Users agree that ZEA AI, its owners, employees, affiliates, and suppliers shall not be liable for any direct, indirect, incidental, special, or consequential damages arising from use of the service, including but not limited to data loss, downtime, missed flights, regulatory penalties, or loss of profit, and that total liability shall be limited to the amount of subscription fees paid to ZEA AI in the twelve months preceding the claim.

Users further agree to indemnify and hold harmless ZEA AI, its directors, and partners from any and all claims, damages, or expenses arising from misuse of AI data, breach of these Terms, or non-compliance with data protection, aviation, or operational regulations.

Pricing & Fees

Network Rollout Period

During the rollout period, PAXP is offered complimentary to approved operators and brokers.

PAXP reserves the right to introduce subscription fees in future phases, with prior written notice of no less than 30 days.

Operators and brokers remain the sole data controllers for all flight and passenger information transmitted through ZEA AI, while ZEA AI remains a processor for technical, billing, and account data only.

Data Neutrality and Non-Solicitation

Neutral Platform

ZEA AI is an independent technology provider. It does not provide air-charter, brokerage, or aircraft-management services and operates independently from all operators and brokers using the platform.

Data Use and Access

Operator and Broker Data —including flight, booking, and client information— is used solely to deliver and maintain the ZEA AI platform, diagnose technical issues, and generate aggregated or anonymised analytics that do not identify any individual Operator, Broker, or customer.

Administrative access to such data is restricted to authorised technical personnel and used only for legitimate support purposes. Access may be logged and reviewed for security and compliance.

Non-Solicitation of Clients

During the term of this Agreement and for twenty-four (24) months after its termination (the "Restricted Period"), ZEA AI, its affiliates, officers, employees, and contractors shall not, directly or indirectly:

(a) approach, solicit, or attempt to solicit any charter client, passenger, or customer of an Operator for the purpose of offering or promoting air-charter, management, or brokerage services in competition with that Operator; or

(b) use any Operator or Broker Data obtained through the platform to identify or contact such persons for commercial gain.

Ownership of Relationships

All commercial relationships, goodwill, and client data belonging to an Operator or Broker remain their exclusive property. Nothing in these Terms grants ZEA AI any rights or interests in those relationships.

Exceptions

This Clause does not restrict ZEA AI or any affiliated entity from undertaking general marketing that is not specifically directed at identified clients of any Operator or Broker.

Survival and Governing Law

This Clause survives termination or expiry of these Terms for the duration of the Restricted Period and is governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai. The courts of Dubai (or, where applicable, the DIFC Courts) shall have exclusive jurisdiction.

Service Level & Support

ZEA AI targets 99.5% uptime and provides support via email at support@zeaai.co within twenty-four to forty-eight hours, or faster for premium accounts. Service interruptions due to maintenance, system upgrades, cyberattacks, natural disasters, or other force majeure events will not constitute a breach of contract.

ZEA AI may terminate or suspend any account immediately if a user breaches these Terms, engages in unauthorised access, misuses AI outputs, or fails to pay due fees. Users may cancel their account at any time via their dashboard or by email; access continues until the end of the paid period. All account and billing records are retained for seven years for legal compliance, and no passenger data is permanently stored by ZEA AI.

Governing Law & Jurisdiction

These Terms are governed by the laws of the United Arab Emirates, under the jurisdiction of the Dubai Courts and the Dubai International Arbitration Centre (DIAC). ZEAS Global FZCO is registered within the Dubai Silicon Oasis (DSO), and all legal proceedings or arbitration shall take place in Dubai, UAE.

For users in the United Kingdom or European Union, ZEA AI also adheres to the applicable provisions of the UK GDPR and EU data protection laws to the extent required.

In case any provision is found invalid or unenforceable, the remaining provisions shall remain in full effect. ZEA AI reserves the right to modify these Terms at any time with thirty days' notice; continued use after modifications constitutes acceptance.

Agreement Confirmation

By ticking the agreement box or creating an account, you confirm that you have read, understood, and accepted these Terms, that you have authority to bind your organisation where applicable, and that you assume full responsibility for verifying AI-processed data and complying with all aviation and data protection laws.
